These Terms of Service (“Terms”) govern your access to and use of ProductAware (“Service”), a Shopify application developed and operated by Modelcars LLC (“we,” “us,” or “our”). ProductAware is part of the ProfitAware suite of applications. By installing or using ProductAware, you agree to be bound by these Terms.
1. Acceptance of Terms
By installing ProductAware from the Shopify App Store or accessing the Service at any URL, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. You must be at least 18 years old to use the Service.
2. Description of Service
ProductAware is a catalog enrichment tool for Shopify merchants. It identifies products in your store with missing images or thin descriptions, retrieves matching product information from third-party websites that you configure (“Target Sites”) — such as supplier, distributor, or manufacturer sites — and uses artificial intelligence to extract structured product content from those sources. You review and approve enriched content before it is published back to your Shopify store.
The Service is offered through one or more subscription plans with different feature limits, as well as a limited free tier. Current plan offerings, features, and pricing are described in the Service itself and in the Shopify App Store listing.
3. Shopify Billing
All billing is handled through Shopify’s Billing API. By approving a subscription charge, you authorize Shopify to collect the applicable recurring fee on our behalf at the rates displayed in the Service at the time of subscription. Subscription fees are billed in advance on a recurring cycle.
If a free trial is offered for a plan, the trial duration is shown at the point of subscription, and you will not be charged during the trial period. Trials are subject to change and may not be available for all plans.
You may cancel your subscription at any time through your Shopify admin under Settings > Apps. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.
We may change pricing or plan offerings from time to time. Price changes apply at your next billing cycle and will be communicated in advance through Shopify or in the Service.
4. Target Sites and Your Responsibilities
ProductAware retrieves content from Target Sites that you configure. You are solely responsible for:
- Ensuring that you have the right to access and retrieve content from any Target Site you configure, including compliance with that site’s terms of service, robots.txt directives, and applicable laws
- Ensuring that you have the right to reproduce, modify, and publish content retrieved from Target Sites to your own Shopify store, including any necessary licenses, permissions, or supplier authorizations
- Reviewing all enriched content before approving it for publication
- The accuracy, legality, and appropriateness of any content you publish to your Shopify store using the Service
We do not warrant that the use of any specific Target Site is permitted by that site’s operator. Some sites prohibit automated access in their terms of service; you are responsible for understanding and respecting those terms. If a Target Site operator requests that we cease accessing their site, we may disable that Target Site for all users without notice.
You agree not to use ProductAware to access Target Sites in a manner that:
- Violates any applicable law or regulation
- Infringes the intellectual property rights of any third party
- Circumvents technical access controls, authentication, or paywalls
- Is intended primarily to harm or disrupt the Target Site’s operations
5. AI-Generated Content
ProductAware uses third-party artificial intelligence services to extract structured product information from content retrieved from Target Sites. AI-generated content is provided “as is” and may contain errors, inaccuracies, omissions, or fabrications. The Service is designed around a human-in-the-loop review step specifically because AI-generated content cannot be relied upon without human verification.
You acknowledge and agree that:
- You are solely responsible for reviewing all AI-generated content before approving it for publication to your Shopify store
- We make no warranties regarding the accuracy, completeness, or suitability of AI-generated content
- AI-generated content does not constitute professional advice of any kind
- Once you approve content for publication, the published content is your content and your responsibility, regardless of how it was generated
6. Acceptable Use
You agree to use ProductAware only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to violate any applicable law or regulation
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use automated scripts or bots to access the Service in a manner that could damage or overburden our infrastructure
- Share your account credentials or allow unauthorized access to your account
- Use the Service to scrape, retrieve, or republish content you do not have the right to use
- Use the Service to circumvent any third party’s technical access controls or terms of service
7. Intellectual Property
ProductAware and all its components, including but not limited to software, design, text, and graphics, are owned by Modelcars LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.
Your store data remains your property. We do not claim ownership of any product or business data you import into the Service.
Content retrieved from Target Sites belongs to the Target Site’s owner or applicable rights holder. Your right to use such content depends on the relationship between you and the rights holder; the Service does not transfer or grant you any rights in third-party content.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described in the Privacy Policy.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. The Service relies on third-party providers (including Shopify, AI service providers, and content retrieval providers); availability of these providers is outside our control. We will not be liable for any losses arising from downtime or service interruptions.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (A) CONTENT RETRIEVED FROM TARGET SITES IS ACCURATE, COMPLETE, OR LAWFUL FOR YOU TO REPUBLISH; (B) AI-GENERATED CONTENT IS ACCURATE OR FREE OF ERRORS; OR (C) THE SERVICE WILL BE ABLE TO RETRIEVE CONTENT FROM ANY PARTICULAR TARGET SITE AT ANY PARTICULAR TIME.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELCARS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM CONTENT PUBLISHED TO YOUR STORE THROUGH THE SERVICE OR FROM THIRD-PARTY CLAIMS RELATED TO YOUR USE OF TARGET SITES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Modelcars LLC from any third-party claims, damages, or expenses (including reasonable attorneys’ fees) arising from (a) your use of the Service, (b) content you publish to your Shopify store using the Service, (c) your configuration or use of any Target Site, or (d) your violation of these Terms or applicable law.
13. Termination
You may terminate your use of the Service at any time by uninstalling ProductAware from your Shopify store. We reserve the right to suspend or terminate your access to the Service at our discretion if you violate these Terms or engage in conduct that is harmful to other users, to Target Site operators, or to the Service.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date above and, where appropriate, through in-app notification or email. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of San Diego County, California.
