These Terms of Service (“Terms”) govern your access to and use of ProfitAware (“Service”), a Shopify application developed and operated by Modelcars LLC (“we,” “us,” or “our”). By installing or using ProfitAware, you agree to be bound by these Terms.
1. Acceptance of Terms
By installing ProfitAware from the Shopify App Store or accessing the Service at any URL, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. You must be at least 18 years old to use the Service.
2. Description of Service
ProfitAware is a per-SKU profitability analysis tool for Shopify merchants. It imports your product catalog and helps you calculate profit margins, break-even prices, and cost allocations across your product portfolio. The Service is offered through one or more subscription plans with different feature limits, as well as a limited free tier. Current plan offerings, features, and pricing are described in the Service itself and in the Shopify App Store listing.
3. Shopify Billing
All billing is handled through Shopify’s Billing API. By approving a subscription charge, you authorize Shopify to collect the applicable recurring fee on our behalf at the rates displayed in the Service at the time of subscription. Subscription fees are billed in advance on a recurring cycle.
If a free trial is offered for a plan, the trial duration is shown at the point of subscription, and you will not be charged during the trial period. Trials are subject to change and may not be available for all plans.
You may cancel your subscription at any time through your Shopify admin under Settings > Apps. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.
We may change pricing or plan offerings from time to time. Price changes apply at your next billing cycle and will be communicated in advance through Shopify or in the Service.
4. Acceptable Use
You agree to use ProfitAware only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to violate any applicable law or regulation
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use automated scripts or bots to access the Service in a manner that could damage or overburden our infrastructure
- Share your account credentials or allow unauthorized access to your account
- Use the Service to process or store data you do not have the right to process
5. Intellectual Property
ProfitAware and all its components, including but not limited to software, design, text, and graphics, are owned by Modelcars LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.
Your store data remains your property. We do not claim ownership of any product, cost, or business data you import into the Service.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described in the Privacy Policy.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will not be liable for any losses arising from downtime or service interruptions.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PROFITABILITY CALCULATIONS PROVIDED BY THE SERVICE ARE ESTIMATES BASED ON DATA YOU PROVIDE AND ARE INTENDED FOR INFORMATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE FINANCIAL, ACCOUNTING, TAX, OR LEGAL ADVICE. YOU ARE RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY CALCULATIONS BEFORE RELYING ON THEM FOR BUSINESS DECISIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELCARS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
10. Termination
You may terminate your use of the Service at any time by uninstalling ProfitAware from your Shopify store. We reserve the right to suspend or terminate your access to the Service at our discretion if you violate these Terms or engage in conduct that is harmful to other users or the Service.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date above and, where appropriate, through in-app notification or email. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of San Diego County, California.
